Register a company

As an international financial center, Hong Kong is a platform for global economic and trade with its complete legal system, simple tax system, low tax rate, complete infrastructure facilities and high-quality professionals. When setting up a company, clients can choose to register a new Hong Kong limited company or purchase an existing company. Related information is as follows:

1. Register a Hong Kong limited company

Time required: 1 day (electronic registration) / 10-12 working days (ordinary registration)

Company name: Select by customer

Number of people required:

  • Shareholder: at least one (no nationality restrictions)
  • Director: at least one, which can be the same person as the shareholder (no nationality restrictions)
  • Secretary: one (must be a Hong Kong resident or a company with a registered address in Hong Kong)

Registered capital: at least HKD 1

Required information: Company name in Chinese and English or a single Chinese or English name, copies of ID cards or passports of shareholders and directors, company registered address (provided by our company)

 

2. Purchase a Hong Kong limited company

Time required: 2-3 working days

Company Name: Our company offers our clients a large selection of names to choose from

Number of people required:

  • Shareholder: at least one (no nationality restrictions)
  • Director: at least one, which can be the same person as the shareholder (no nationality restrictions)
  • Secretary: one (must be a Hong Kong resident or a company with a registered address in Hong Kong)

Registered capital: at least HKD 1

Required information: copies of ID cards or passports of shareholders and directors, company registered address (provided by our company)

 

Application for tax exemption for companies limited by guarantee and charitable organizations

If a company does not intend to distribute profits to shareholders and therefore does not require a shareholding system, clients may consider registering a non-capital guaranteed limited company. These companies are primarily used by non-profit organizations such as chambers of commerce, charities, and schools.

1. Limited company without share capital guarantee

Features:

  • The purpose of registration is not to make profit
  • The company has no dividend or share system
  • When a company is liquidated, members are only liable for an agreed amount

Number of members required :

  • Founding members: at least one (no nationality restrictions)
  • Director: at least one, who can be the same person as the founding member (no nationality restrictions)
  • Secretary: one (must be a Hong Kong resident or a company with a registered address in Hong Kong)

  • The company’s Chinese and English name or a single Chinese or English name, a copy of the director’s ID card or passport, and the company’s registered address (provided by our company)
 

 

2. Application for tax exemption for charitable organizations

If a company has a charitable nature, it can apply to the Hong Kong Inland Revenue Department to obtain tax exemption under Section 88 of the Hong Kong Inland Revenue Ordinance.

Charitable purposes :

  • Poverty relief
  • Advance education
  • promote religion, and
  • Other purposes of a charitable nature that benefit the community and do not fall within any of the above

required materials :

  • application form
  • Articles of Association
  • List of activities proposed to be carried out within 12 months from the date of establishment or application

Processing time :

overseas company

Customers can choose to register an offshore company in Hong Kong, which allows them to allocate funds and conduct business more flexibly. They can also serve as directors or shareholders of overseas companies without nationality restrictions. The personal information of some offshore companies’ directors or shareholders is not made public.
